I. ELIGIBILITY
California Paint and or Storm Stain Dealers who participate in the cooperative
advertising program are required to adhere to the terms and conditions
outlined.
II. COVERAGE PERIOD
Accrual: Previous year purchases made from December 1 through November
30 on designated products.
III SHARE AND ALLOWANCE
1. California Products will reimburse 50% of the cost of a dealer's advertising
in qualifying media. California Products share of cooperative advertising
will NOT EXCEED 2% of California Paint
and 4% of Storm Stain purchases (less any rebates, discounts, and returns)
from December 1 through November 30 (based on previous year purchases).
2. In generic dealer produced ads, reimbursement is based only on the
actual space or time devoted to California Paint and/or Storm Stain products.
For example, if California Paint and/or Storm Stain products
constitute 10% of the ad or commercial, then just 10% of the cost qualifies
for co-op reimbursement.
3. Unused co-op allowances cannot be carried over to the next year and
no further credit will be available when the allowance is exhausted.
IV Qualifying Product
1. The California Paint and or Storm Stain Cooperative Advertising Program
covers the following designated products only. (unless otherwise specified
in various promotional programs).

2. All logo styles, tradenames, product names, can cuts and illustrations
must be current. Old versions, and/or improvised versions are not eligible
for reimbursement. (i.e., ads featuring Ox-Line products and or discontinued
California names (Example: Allwall --do not qualify). Any product not
listed above must have prior approval for co-op reimbursement. All current
images may be obtained by contacting the California marketing department.
V. Qualifying Media
1. Newspaper advertising will be reimbursed if it appears in paid circulation,
general interest daily, weekly or Sunday newspapers and program books.
Religious Bulletins, and School Yearbooks and the like are not eligible.
All eligible publications must:
a. Serve the dealer's trading area.
b. Meet Second Class mailing privileges.
c. Have rates and circulation that are verifiable by independent audit.
2. Promotional flyers, free standing inserts (FSI's) and direct mail
must have prior written approval from California Products. Reimbursement
will be made only for the portion devoted to California Paint and/or Storm
Stain.
3. Radio and Television advertising must mention California Paint and/or
Storm Stain at least twice in a :30 commercial; a minimum of three times
in a :60 commercial. In television advertising, the California Paints
and/or Storm Stain name and logo must be displayed for at least 5 seconds
in the video portion of
the commercial.
4. Outdoor advertising must be by recognized outdoor media companies
only.
5. Reimbursement will be made only for advertising space or time or promotional
novelties. Production charges, agency fees, talent fees and the like are
not eligible for reimbursement.
VI. Qualifying Materials
1. For complete reimbursement of newspaper advertising (up to the 50%
per ad limit), one of the two following qualifications must be met:
a. Use the official product photography of California Products Co-op
Program in their entirety.
b. Original ads produced by dealers must contain a visual of the qualifying
California Paint and/or Storm Stain product and display the California
Paint and/or Storm Stain logo prominently and/or the California Paint
and/or Storm Stain brand name in the headline or subheadline in large
type.
Also, the California Paint and/or Storm Stain name and logo must be
no less than
50% of the size of the dealer's name and logo.
2. Generic advertising (which is subject to pro-rata reimbursement as
noted in Section III-2) must meet the following conditions:
a. Only one other competitive paint brand will be allowed in the ad.
b. California Paint and/or Storm Stain products must be clearly identified
and separated.
c. In newspaper, a minimum of four column inches must be devoted soley
to California Paint and/or Storm Stain.
d. The California Paint and/or Storm Stain name and logo must be no
smaller than the name and logo of other competitive paint brands in
the
ad; and no less than 50% of the size of the dealer's name and logo.
3. All billboards must have the California Paint and/or Storm Stain name
and logo at least 50% the size of the store name. California Paints and/or
Storm Stain must be the only brands illustrated on outdoor for co-op reimbursement.
4. Co-op ads must make no claim about California Paints and/or Storm
Stain that California Products does not make in its own advertising or
product specifications.
VII. Reimbursement
1. Dealers participating in the California Products Cooperative advertising
program must have money accrued in their co-op allowance account prior
to filing their claims. (These amounts can be obtained from your salesman
or the Coop Advertising Administrator at 800-225-1141, Ext. 209.)
2. Newspaper space is reimbursed at the local, net rate vs. national
rates.
3. All requests for reimbursement should be submitted in the month advertising
bills are paid. Use the attached form when submitting your invoices. (Note:
All yearly co-op advertising claims must be received by California Products
no later than December 10th of each calendar year).
VIII. Documentation
1. Newspaper
a. California Products Advertising Claim Form.
b. A copy of the "paid" publication invoice which shows the
ad size, frequency and local net rate.
c. Tearsheet showing the ad, newspaper name and date.
2. Catalogs, Flyers, Novelties
a. California Products Advertising Claim Form.
b. Sample catalog or item.
3. Radio and Television
a. California Products Advertising Claim Form.
b. A copy of the station invoice detailing length of flight, number
of spots, station affidavit as to commercials aired, and cost.
c. Each script broadcast must be attached to the claim form and bear
station certification following the ANA/RAB (Radio Advertising Bureau)
and ANA/TVB (Television Bureau of Advertising) documentation. All affidavits
must bear the original signature of a station official. We suggest that
you notify the station in advance that this documentation will be required.
4. Outdoor
a. California Products advertising claim form.
b. Photo of each outdoor board.
c. Vendor invoice from the outdoor display company showing the number
of billboards and the length of time they are to be posted.

IX. Revocation
California Paint reserves the right to refuse payment for non compliance
with any of the terms and conditions of this program. The Company also
reserves the right to review or cancel the program at any time with 30-days
written notice.
